Position Summary

The Senior IT Contracts Specialist will be a member of the Commercial Legal team focusing primarily on the IT contract intake process and IT contract drafting and negotiation. This position will: (1) act as the Commercial Legal team liaison for IT contract processes and submission reviews; (2) assist attorneys to train company personnel on legal issues associated with IT contracts; and (3) assist in drafting and reviewing other types of commercial contracts as needed. The IT Contracts Specialist will maintain positive relations for the Commercial Legal team with outside attorneys and professionals, business partners, consultants and vendors. The IT Contracts Specialist will take action to enhance cross-functional coordination and expand internal communications within the company

Main Responsibilities

Participate in the preparation and negotiation of IT contracts including SaaS Agreements, Software License Agreements, IT Professional Services Agreements and Confidential Disclosure Agreements

  • Serve as the initial legal point of contact for IT contracts for internal customers

  • Negotiate and redline deviations from standard templates

  • Draft contract language to address unique situations/concerns as requested

  • Assure proposed contract changes are appropriately reviewed and approved

  • Provide counsel, with the assistance and/or support of an attorney, to Abbott’s global procurement team and business teams on compliance, risk management and other legal issues

  • Maintain IT templates and assist in the preparation and maintenance of updates to the IT templates

  • Provide assistance with project work such as the preparation and updating of the IT contracting handbook

  • Work in close cooperation with global procurement team to coordinate and streamline efforts

  • Identify training needs and assist in development and presentation of training and education regarding legal requirements and developments

  • Develop a thorough understanding of and familiarity with: Abbott’s business, its people, products, markets, facilities, customers, and competitors and use this knowledge in providing guidance and counsel


Bachelor’s Dregree

Minimum 5 years’ experience in a law firm or corporate legal department negotiating and drafting IT contracts.
